Agreement to our legal terms

We are ToS Tech LLC ("Company," "we," "us," "our"), a company registered in Wyoming, United States at 30 N Gould St, Sheridan, WY 82801.

We operate Finorify on the web at https://app.finorify.com and as a mobile application for iOS and Android (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

Finorify is a cross-platform stock analysis product designed to help users track, analyze, and visualize stock market and financial data on the web, iOS, and Android. The Services offer educational tools, market insights, and visual scorecards to support users in understanding financial metrics. Finorify does not offer personalized financial advice or recommendations. It is intended for informational and educational purposes only.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and ToS Tech LLC, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

1. Our Services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. The Services are not tailored to comply with industry-specific regulations such as HIPAA, FISMA, or GLBA.

2. Intellectual property rights

We are the owner or the licensee of all intellectual property rights in our Services, including source code, databases, functionality, software, website designs, text, photographs, and graphics (the "Content"), as well as the trademarks, service marks, and logos (the "Marks"). The Content and Marks are provided "AS IS" for your personal, non-commercial use only.

3. User representations

By using the Services, you represent that registration information is accurate, you have legal capacity, you are not a minor, and you will not use the Services for illegal purposes or through automated non-human means.

4. User registration

You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account.

5. Purchases and payment

We accept Visa and Mastercard. You agree to provide current purchase and account information. Sales tax may be added as required. All payments are in the currency shown at checkout based on your location. We may refuse or limit orders that appear to be placed by dealers or resellers.

6. Subscriptions

Billing and renewal

Your subscription continues and automatically renews unless canceled. Billing cycle length depends on the plan you choose.

Free trial

We offer a 7-day free trial to new users. The account is charged according to the chosen subscription at the end of the trial.

Cancellation

If you subscribed through the Apple App Store or Google Play, manage, renew, or cancel that membership in the store account subscriptions page. If you subscribed through Stripe on the web, manage, update your payment method, or cancel in the Stripe customer portal linked from Profile in the Services. Cancellation takes effect at the end of the current paid term. Questions: contact@finorify.com.

Fee changes

We may change subscription fees and will communicate price changes in accordance with applicable law.

7. Policy

All sales are final and no refund will be issued, except where required by Apple, Google, Stripe, or applicable law.

8. Prohibited activities

You may not use the Services for any purpose other than those we make available. You may not systematically retrieve data, trick or defraud us or other users, interfere with security features, harass others, or use the Services to compete with us.

9–10. User contributions

If you send us questions, comments, or feedback ("Submissions"), you assign to us the intellectual property rights in that Submission so we may use it without compensation to you.

11. Application license

We grant you a revocable, non-exclusive, non-transferable, limited right to install and use the mobile applications on devices you own or control, and to access the web application at app.finorify.com, strictly in accordance with these Legal Terms. You may not reverse engineer, rent, or sell the Services.

12. Services management

We reserve the right to monitor the Services for violations, take legal action, restrict access, and remove content that is burdensome to our systems.

13. Privacy Policy

By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United States and Germany.

14. Term and termination

These Legal Terms remain in effect while you use the Services. We may deny access or delete your account at any time, including for breach of these terms.

15. Modifications and interruptions

We may change or discontinue the Services at any time. We do not guarantee uninterrupted availability.

16. Governing law

These Legal Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.

17. Dispute resolution

Informal negotiations should come first. If a dispute is not resolved, it will be resolved by binding arbitration, except that either party may bring an individual action in small claims court or seek injunctive relief for intellectual property.

18. Corrections

There may be information on the Services that contains typographical errors or inaccuracies. We reserve the right to correct any errors.

19. Disclaimer

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Finorify is not a broker, adviser, or exchange. Nothing in the Services is an offer to buy or sell securities or personalized financial advice.

20. Limitations of liability

To the fullest extent permitted by law, we are not liable for any indirect, consequential, or punitive damages, or for lost profits or data, arising from your use of the Services.

21. Indemnification

You agree to defend and indemnify us from claims arising out of your use of the Services or your breach of these Legal Terms.

22. User data

We will maintain certain data that you transmit to the Services. You are solely responsible for all data that you transmit.

23. Electronic communications

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications from us.

24. California users

If you are a California resident, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.

25. Miscellaneous

These Legal Terms and any policies posted by us constitute the entire agreement between you and us. Our failure to exercise a right is not a waiver.
